These Terms of Service ("Terms") govern your access to and use of the website located at https://strezev.com (the "Site") and any digital marketing, SEO, paid advertising, web setup, and eCommerce advisory services provided by Strezev Consulting / Strezev LLC ("Strezev," "we," "us," or "our").

By accessing or using the Site, scheduling a consultation, or submitting information through our forms, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

You may use the Site for lawful, informational purposes and to inquire about or book our consulting and marketing services. You agree not to:

• Interfere with, disrupt, or compromise the security and operation of the Site or its underlying servers.
• Use automated scrapers, bots, or data harvesting methods to extract content from the Site without our express written permission.
• Submit false, fraudulent, or misleading information via contact forms, lead forms, or booking calendars.

All content, branding, frameworks, text, graphics, logos, and materials on the Site are the exclusive property of Strezev LLC or its licensors and are protected by United States and international copyright, trademark, and intellectual property laws. You may not copy, modify, republish, distribute, or create derivative works from our site content without prior written consent.

• Independent Agreements: Consulting engagements, monthly retainers, and project deliverables (e.g., ad campaign setup, Shopify development, SEO audits) are governed by separate, written proposals, invoices, or Statements of Work (SOW). In the event of a conflict between these Terms and a signed client agreement, the signed agreement shall control.
• No Guarantee of Results: Search engine rankings (e.g., Google), conversion rates, and ad performance (e.g., Meta, Google Ads) depend on third-party algorithms, market dynamics, and customer behavior beyond our direct control. While we apply proven, data-driven strategies, we do not guarantee specific revenue gains, ROAS, traffic numbers, or search positions.
• Third-Party Platforms: We are not responsible for account suspensions, policy changes, tracking outages, or billing decisions made by third-party ad networks or software platforms (such as Google, Meta, TikTok, Shopify, or Klaviyo).

• Payment: Fees for consulting packages, retainers, and setup work are due according to the payment schedules specified on individual invoices or client contracts.
• Work Product Ownership: Upon full payment of all outstanding fees, clients retain ownership of custom deliverables produced specifically for their campaigns, subject to any retained rights in pre-existing agency tools or frameworks.

The Site and all informational content, blog posts, and resources provided on it are offered on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, Strezev LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Strezev LLC, its principal consultant, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, sales, or business reputation—arising out of or related to your use of the Site or our services.

In no event shall our total cumulative liability exceed the total amount paid by you to Strezev LLC for the specific service giving rise to the claim in the three (3) months preceding the event.

You agree to defend, indemnify, and hold harmless Strezev LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or any materials/products you provide to us for marketing campaigns.

These Terms and any disputes arising out of or related to your use of the Site or services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

We reserve the right to revise and update these Terms at our discretion. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.
